TERMS: F.O.B. Woodbridge Ontario, Minimum Billing for a Credit Account is $50. Orders Below $50 will be COD.

SHIPMENT DATES:  Shipment dates are estimates only.  No contract will be made to ship within a specified time unless in writing, signed by an officer of TCI, Woodbridge, Ontario.  Absent such contract, TCI shall not be liable for damages of any kind occasioned by TCI’s failure to meet shipping dates.

SHIPMENT:  Buyer should state the method of shipment preferred.  In the absence of such shipping instructions, TCI will ship the goods by the most reasonable method available and the shipment will be shipped prepaid and charged.  Goods are at the risk of Buyer from and after delivery to the carrier, and Buyer assumes all responsibility for shortage, loss, delay or damage in transit.

ORDER ADDITIONS: TCI will treat any additions to orders already shipped as a new order.

ORDER CHANGE/CANCELLATION: Orders cannot be changed or cancelled within 30 days of the scheduled ship date unless approved in writing by TCI or specified otherwise within a contract.

WARRANTY: TCI warrants all products against defects in material and workmanship for 12 months from the date of shipment (excluding normal wear or unless specifically stated otherwise).  This is a limited warranty to its terms.  This warranty is void if the product has been altered, misused, taken apart or otherwise abused.  ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, ARE EXCLUDED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PURPOSE.

RETURNS:  Before returning material to TCI, a return Material Authorization (RMA) number must be obtained.  Products returned without an RMA number clearly marked on the outside of the shipping carton will be refused.  All returns must be prepaid.  Returns are subject to inspection and must be in original condition with all packaging and instruction.  Returns are subject to a restocking charge of 25% for standard stock items.  Only stock items will be considered for return. All other items will be Final Sale.

BUYER’S REMEDIES:  TCI obligation and liabilities under the foregoing warranty are limited to repair or replacement of the product without charge, provided it is mailed prepaid to TCI 23-131 Whitmore Road, Woodbridge Ontario. L4L 6E4.  A Charge is made for repairing after the expiration of the warranty.  IN NO EVENT WILL TCI BE LIABLE FOR CLAIMS BASED UPON BREACH OF EXPRESSED OR IMPLIED WARRANTY OR NEGLIGENCE OR ANY OTHER DAMAGES WHETHER DIRECT, IMMEDIATE, FORESEEABLE, CONSEQUENTIAL OR SPECIAL OR FOR ANY EXPENSES INCURRED BY REASON OF THE MISUSES, SALE OR FABRICATION OF PRODUCTS WHICH DO NOT CONFORM TO THE TERMS AND CONDITIONS OF THIS CONTRACT.

INDEMNIFICATION:  Buyer agrees to hold TCI harmless from, defend, and indemnify TCI against damages, claims and expenses arising out of subsequent sales of TCI or products containing components manufactured or represented by TCI and based upon personal injuries, deaths, property damage, lost profits and other matters for which Buyer, it’s employees or sub-contractors are or may be to any extent liable.  The warranties and remedies provided for herein are available to Buyer and shall not extend to any other person.

ENTIRETY OF AGREEMENT: This document together with any other documents furnished by TCI sets forth the entire agreement between the parties and may not be changed in any way except by written agreement.
